Terms of Service — Greenline Trading

1. Who we are and what this agreement covers

These Terms of Service (the "Terms") are a binding agreement between Greenline Trading ("Greenline," "we," "us") and the individual or entity that creates an account or purchases a subscription ("you," "your," or the "Customer").

These Terms govern your access to and use of the Greenline website at greenline.agents.com, the Greenline customer dashboard, the Greenline automated trading software, and any related documentation, tools, and support (collectively, the "Service").

By creating an account, clicking an "I agree" button, submitting payment, or using any part of the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms incorporate by reference our Privacy Policy. Additional product-specific terms, if any, will be presented to you at the time of purchase and, once accepted, form part of the agreement.

2. The Service — scope and nature

Greenline is a software-as-a-service ("SaaS") platform. We license software that automates order placement on a Customer's own cryptocurrency exchange account according to rules, parameters, and filters that Greenline configures at the Customer's direction.

2.1 What the Service is

Configuration and operation of Greenline's proprietary trading software on infrastructure Greenline operates.
Connection of that software to the Customer's own exchange account (currently Coinbase) via an API key the Customer generates and supplies.
A dashboard, notification system, and monthly written report summarizing activity on the Customer's own account.
Human operator support — configuration assistance, incident response, and periodic reviews as described in the Customer's subscription tier.

2.2 What the Service is not

Not an investment adviser, broker-dealer, or money transmitter. Greenline is not registered with the U.S. Securities and Exchange Commission ("SEC"), the Commodity Futures Trading Commission ("CFTC"), the Financial Crimes Enforcement Network ("FinCEN"), or any state securities or banking regulator as an investment adviser, broker-dealer, commodity trading adviser, commodity pool operator, money services business, or money transmitter.
Not a fund, pool, or managed account. Greenline does not pool Customer funds, commingle Customer assets, or manage assets on a discretionary basis within the meaning of the Investment Advisers Act of 1940 or state analogs.
Not a custodian or wallet provider. Greenline does not receive, hold, store, transmit, exchange, or otherwise control Customer cryptocurrency or fiat funds.
Not financial, investment, tax, or legal advice. Any written or verbal communication from Greenline — including dashboards, reports, emails, Telegram messages, and conversations with Greenline personnel — is informational only.

3. No custody of customer funds

The non-custodial nature of the Service is a core term of this agreement.

3.1 Funds remain on your exchange

At all times, your cryptocurrency and any associated fiat balances remain held by your own exchange account (currently Coinbase), in your name, under your control, and subject to your exchange's terms. Greenline never receives, takes title to, or acquires beneficial ownership of any Customer funds.

3.2 Trade-only API access

The Service operates using an exchange API key that you create and provide to us. You agree to generate the API key with permissions strictly limited to viewing balances and placing orders — and to disable all withdrawal, transfer, and funding-change permissions on that key. Greenline does not request or require withdrawal permissions and will not operate with an API key that has them enabled.

3.3 Your unilateral right to stop

You may, at any time and without notice to Greenline, revoke the API key directly in your exchange account. Doing so will immediately stop the Service from placing further orders on your behalf. Revoking the key does not, by itself, cancel your subscription — see Section 6.

3.4 Payment flows are separate

Subscription fees are paid in U.S. dollars through our third-party payment processor (Stripe). Fee payments flow between you and Stripe and do not involve cryptocurrency, your exchange account, or any movement of trading capital.

4. Not investment advice; you are the decision-maker

Nothing provided by Greenline — including the Service, the website, the dashboard, reports, emails, chat messages, phone calls, onboarding conversations, or any other communication — constitutes investment advice, financial advice, trading advice, tax advice, legal advice, or a recommendation to buy, sell, or hold any asset.

You acknowledge and agree that:

You are the sole decision-maker with respect to your exchange account, the funds in it, which digital assets to trade, how much capital to allocate, and whether to start, continue, pause, or stop using the Service.
Greenline's configuration choices — including strategy selection, position sizing, daily loss limits, and filters — are software parameters operated on your behalf at your direction, not personalized financial recommendations.
General discussions of trading strategies, market conditions, or risk management from Greenline personnel are for informational and educational purposes only and do not create an advisory relationship.
You are responsible for assessing the suitability of automated trading in light of your financial situation, risk tolerance, and objectives, and for consulting independent qualified professionals (including a licensed financial adviser, tax professional, and attorney) before deciding to use the Service.

No fiduciary, advisory, brokerage, or agency relationship is created between you and Greenline by these Terms or by your use of the Service.

5. Eligibility and account requirements

To use the Service, you represent and warrant that:

You are at least 18 years old and have full legal capacity to enter into this agreement.
You are a resident of the United States, and you are not located in, under the control of, or a national or resident of any country or territory subject to comprehensive U.S. sanctions, and you are not on any U.S. government list of prohibited or restricted parties (including the OFAC Specially Designated Nationals List).
Your use of the Service complies with all laws, regulations, and rules applicable to you, including those of your state of residence.
You will maintain a valid, compliant Coinbase account (or other exchange Greenline supports in the future) in good standing, and you have read and agreed to that exchange's terms of service.
The information you provide to Greenline is accurate, complete, and not misleading, and you will keep it up to date.

Greenline reserves the right, in its sole discretion, to refuse or terminate service to any Customer, including where Greenline believes continued service would violate law or these Terms, expose Greenline to undue risk, or harm other Customers.

6. Fees, billing, and cancellation

6.1 Fees

Your subscription tier (Starter, Growth, Private, or any successor tier) determines the applicable one-time setup fee and recurring monthly subscription fee. Fees are stated in U.S. dollars, exclusive of applicable taxes.

6.2 Payment processor

All fees are processed by Stripe. By purchasing a subscription you also agree to Stripe's terms of service and authorize Stripe to charge your payment method for the amounts described at checkout, on the schedule described at checkout, until you cancel.

6.3 Setup fee

The setup fee is charged once at the start of service and covers initial configuration, onboarding, and operator time. The setup fee is non-refundable once configuration work has begun, except where required by law.

6.4 Recurring subscription

Subscription fees renew automatically each month until canceled. You may cancel at any time through your dashboard or by emailing hello@greenline.agents.com. Cancellation takes effect at the end of the current paid billing period. Except where required by law, Greenline does not provide prorated refunds for partial months.

6.5 Taxes

You are responsible for all taxes, duties, and similar assessments imposed by any authority in connection with the Service, other than taxes on Greenline's net income. Where Greenline is required to collect tax (such as Hawaii General Excise Tax), it will be added at checkout.

6.6 Price changes

Greenline may change fees for future billing periods. We will give at least 30 days' notice before any price change takes effect. If you do not wish to accept the new price, you may cancel before the change takes effect.

6.7 Chargebacks

If you dispute a charge, please contact us first at hello@greenline.agents.com so we can try to resolve it. Initiating a chargeback before contacting us may result in suspension or termination of the Service.

7. Your API keys and exchange account

You are solely responsible for the security, accuracy, and appropriate configuration of any API keys you provide to Greenline. You agree that:

You will generate API keys with no withdrawal or transfer permissions, as described in Section 3.
You will not share your Greenline account credentials or your exchange account credentials with anyone other than Greenline (for API keys as required for the Service) and will notify us promptly if you suspect unauthorized access.
You are responsible for all activity on your exchange account, including all orders placed by the Service while the API key is active on our systems, whether or not you personally reviewed each order.
You will comply with your exchange's API rate limits, terms of service, and acceptable use policies.

Greenline is not responsible for the acts, omissions, outages, or security incidents of any exchange, including Coinbase. Greenline does not control, and is not a party to, your relationship with any exchange.

8. Risk disclosure

Automated cryptocurrency trading involves substantial and often unexpected risk, including the risk of total loss of capital. Cryptocurrency markets are volatile, trade 24/7, and can move sharply during periods of low liquidity, network outages, exchange downtime, or regulatory events. Past performance — whether of Greenline, of a particular strategy, of a particular asset, or of any other person — does not guarantee future results. You could lose some or all of the money you use with the Service. Only use the Service with funds you can afford to lose.

You specifically acknowledge that:

The Service operates on publicly available markets that Greenline does not control; price movements, liquidity, slippage, and order execution are outside Greenline's control.
Software — including Greenline's software — can contain bugs, experience outages, or behave unexpectedly. Losses caused by such events are a risk you accept in exchange for the benefits of automation.
Exchanges and internet infrastructure can fail, be hacked, or be subject to government action. Greenline has no ability to prevent or mitigate such events.
The regulatory treatment of cryptocurrency is evolving. Laws may change in ways that affect the Service, your tax obligations, or the value of your holdings.

9. Acceptable use

You agree not to, and not to permit any third party to:

Use the Service in violation of any law or regulation, including securities, commodities, sanctions, anti-money-laundering, tax, or consumer-protection laws.
Use the Service to trade on behalf of other persons without Greenline's written consent (each Greenline subscription is for a single Customer's own account).
Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service, except as expressly permitted by law.
Resell, sublicense, white-label, or make the Service available to third parties except under a written agreement with Greenline.
Interfere with, disrupt, or attempt to gain unauthorized access to the Service, Greenline's infrastructure, or other Customers' accounts.
Represent to any third party that Greenline is an investment adviser, broker, custodian, or fiduciary, or that Greenline's communications are personalized investment advice.

10. Intellectual property

Greenline and its licensors own all right, title, and interest in and to the Service, including all software, algorithms, documentation, trademarks, and related intellectual property. Subject to your compliance with these Terms, Greenline grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal (or, if applicable, internal business) use during your active subscription.

You retain all rights in the data you provide to Greenline (including API keys, preferences, and account information). You grant Greenline a non-exclusive license to use that data solely as needed to provide, maintain, and improve the Service, and as described in the Privacy Policy.

11. Service availability, changes, and support

Greenline will use commercially reasonable efforts to keep the Service operational, but does not guarantee uninterrupted or error-free service. We may suspend, modify, or discontinue any part of the Service (including specific features, strategies, supported exchanges, or pricing tiers) at any time. Where reasonably possible, we will give advance notice of material changes that are likely to affect your use of the Service.

Support levels (response time, included reviews, included channels) are described by subscription tier. Support is provided in English during customary business hours (Hawaii time zone) unless otherwise stated.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GREENLINE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

GREENLINE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICE WILL BE FREE OF HARMFUL COMPONENTS. GREENLINE MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE PROFITABILITY OF THE SERVICE OR ANY STRATEGY, OR REGARDING THE PERFORMANCE OF ANY DIGITAL ASSET.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GREENLINE, ITS OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OPPORTUNITIES (INCLUDING TRADING LOSSES, MISSED GAINS, OR LOSSES CAUSED BY MARKET MOVEMENTS, EXCHANGE OUTAGES, OR THIRD-PARTY ACTS OR OMISSIONS), WHETHER OR NOT GREENLINE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

GREENLINE'S TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, STATUTE, OR OTHERWISE, WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO GREENLINE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you. In such cases, Greenline's liability will be limited to the greatest extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Greenline and its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your breach of these Terms or violation of applicable law; (c) your content or data provided to Greenline; or (d) your acts or omissions in connection with your exchange account.

15. Termination

You may terminate this agreement at any time by canceling your subscription in the dashboard. Greenline may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, if required by law, or if Greenline reasonably believes continued service would expose Greenline or other Customers to material risk.

On termination, your right to use the Service ends immediately. Sections that by their nature should survive termination will survive, including Sections 3, 4, 8, 10, 12, 13, 14, 16, and 18.

16. Governing law and dispute resolution

These Terms are governed by the laws of the State of Hawaii, without regard to conflict-of-laws principles. The federal and state courts located in Honolulu, Hawaii will have exclusive jurisdiction over any action arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction and venue in those courts.

Before filing any lawsuit, you agree to first contact Greenline at hello@greenline.agents.com and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

EACH PARTY WAIVES, TO THE EXTENT PERMITTED BY LAW, THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION AGAINST THE OTHER.

17. Changes to these Terms

Greenline may update these Terms from time to time. When we do, we will post the updated Terms at this URL and update the "Last updated" date above. For material changes, we will also provide notice by email or through the dashboard at least 30 days before the change takes effect. Your continued use of the Service after the effective date of an updated version constitutes acceptance of the updated Terms. If you do not agree, your only remedy is to cancel the Service before the change takes effect.

18. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy and any order form or product-specific terms you accept, constitute the entire agreement between you and Greenline regarding the Service and supersede prior agreements on the same subject.

No waiver. Greenline's failure to enforce any provision is not a waiver of that provision.

Severability. If any provision is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be reformed to the minimum extent necessary to make it enforceable while preserving the parties' intent.

Assignment. You may not assign or transfer these Terms without Greenline's prior written consent. Greenline may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of substantially all of its assets.

Force majeure. Greenline is not liable for failures or delays caused by events beyond its reasonable control, including acts of God, government action, internet or exchange outages, cyber-attacks, or network congestion.

Independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, or employment relationship.
